Suzanne Mulvihill is a Partner who focuses her practice on all aspects of corporate, real estate, tax, business, securities/finance, and employment matters. She represents various corporations, joint ventures, partnerships and limited liability companies regarding entity formation, financing and operations including preparation, review and negotiation of complex commercial contracts of all types that span many industries. She advises clients on a wide spectrum of tax issues regarding mergers and acquisitions, dispositions, joint ventures and assists with a broad range of business transactions. Suzanne prepares and negotiates executive employment agreements and profit sharing arrangements relating to real property development and ownership, and severance/separation agreements.

Comprehensive Corporate Counseling
Ms. Mulvihill represents numerous corporations, joint ventures, partnerships and limited liability companies from entity formation, financing, operations, and exit strategies through liquidation; she also counsels and transacts in international joint ventures and strategic alliances.

Real Estate Development
Ms. Mulvihill has handled multiple complex industrial, office and retail purchase and sale transactions, including ownership and investor structures, drafting CC&R’s, association documents, construction agreements, leases, and ultimate asset disposition documents.

Taxation
Ms. Mulvihill advises on a wide spectrum of tax issues regarding mergers and acquisitions, dispositions, joint ventures and strategic alliances; private offerings of debt and equity securities and financial products; and leases of equipment and facilities; counsel partnerships and other non-corporate entities encompassing a broad range of business transactions, including roll-ups and restructurings; income and loss allocations and withholding tax issues; built-in gains issues; and tax basis issues.

Securities Expertise
Ms. Mulvihill assisted in the formation and establishment of a broker-dealer engaged in national real estate investment opportunities, including the application and registration process and interviews with NASD (now FINRA). She operated as the president and general counsel of a captive broker-dealer for over 10 years. She also counsels clients on compliance with state and federal securities laws.

Employment Transactions
Ms. Mulvihill prepares and negotiates executive employment agreements, profit sharing arrangements and internal financing arrangements relating to real property development and ownership, and severance/separation agreements.
